Welcome to Adestaly Source ("we", "our", "us", or the "Administrator"). These Terms of Use ("Terms") govern your access to and use of the Adestaly Source mobile application, website, and related services (collectively, the "Service" or "Platform").

1. Acceptance of Terms

By creating an account, accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any additional guidelines, rules, or policies referenced herein. These Terms constitute a legally binding agreement between you and the Administrator.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you personally and that entity.

2. Definitions

• "Administrator" refers to Adestaly Source, its founders, employees, affiliates, and agents.
• "User" refers to any individual or entity that accesses or uses the Service, including buyers, sellers, employers, job seekers, and general visitors.
• "Listing" refers to any product, service, job posting, or content submitted, posted, or displayed on the Platform.
• "Buyer" refers to a user who purchases or seeks to purchase goods or services on the Platform.
• "Seller" refers to a user who lists, offers, or sells goods or services on the Platform.
• "Employer" refers to a user who posts job opportunities on the Platform.
• "Job Seeker" refers to a user who seeks employment opportunities through the Platform.
• "Content" refers to all text, images, photographs, videos, data, and other materials posted or shared on the Platform.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age; or
• Be a minor using the Service only with the permission and direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
• Have the legal capacity to enter into a binding agreement.
• Not be barred from using the Service under any applicable law.

By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account & User Responsibilities

4.1 Account Creation

Some features of the Service require you to create an account and provide accurate personal information. You agree to provide true, accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for keeping your login details secure and are liable for all activity carried out through your account. You must not share your password or account credentials with any third party.

4.3 Unauthorized Access

You must immediately report any unauthorized access to your account or any security breach to us. The Administrator is not responsible for losses caused by your failure to protect your account or by unauthorized use of your credentials.

4.4 Account Suspension & Termination

The Administrator may suspend, restrict, or terminate accounts for violations of these Terms, suspicious activity, fraud, scams, duplicate accounts, misuse, or other actions that could affect the Service or other users. We reserve the right to take such action without prior notice and at our sole discretion.

4.5 Minor Accounts

Minors may use the Service only with the permission and direct supervision of a parent or legal guardian. The parent or guardian assumes full responsibility for the minor's use of the Service and any transactions conducted.

5. How the Platform Works

The Platform allows users to post, view, and communicate about listings across the Marketplace and Jobs sections, as well as access bill payment and digital services.

• The Administrator is not the seller, manufacturer, importer, distributor, service provider, or marketer of products or services listed by users.
• Transactions and contracts are made directly between buyers and sellers/service providers. The Administrator only provides the platform for communication and does not participate in any transaction as a party.
• The Administrator does not guarantee the quality, safety, legality, accuracy, or availability of goods, services, or information posted by users.
• The Administrator is not responsible for whether buyers can pay, sellers can deliver, transactions are completed, or products and services infringe third-party rights.
• Users are responsible for any applicable taxes arising from their sales or transactions.

6. Marketplace & Transactions

6.1 Buyer Responsibilities

Before paying, buyers should:

• Inspect the goods thoroughly and ask sellers for documents proving that the goods comply with applicable laws, regulations, standards, and requirements.
• Verify the identity and credibility of the seller.
• Confirm the accuracy of the listing, including price, condition, and specifications.
• Ensure that the transaction terms are clearly understood and agreed upon.

6.2 Seller Responsibilities

Sellers must:

• Provide complete, accurate, and truthful information about their products/services and sale conditions.
• Ensure that contact numbers associated with listings are active and reachable. Failure to maintain a working number may result in the listing being temporarily closed.
• Ensure that listing terms comply with the Platform's Terms and applicable laws.
• Ensure that prices are accurate, and any conditions that could change the price are clearly stated.
• Deliver goods or services as described and within the agreed timeframe.

6.3 In-App Chat

Buyers and sellers can communicate directly through in-app chat. While we provide this communication tool, the Administrator does not monitor, verify, or guarantee the accuracy of any communications between users. Users are advised to exercise caution and good judgment in all interactions.

6.4 Transaction Risks

All transactions are conducted at the user's own risk. The Administrator is not responsible for any loss, damage, or dispute arising from transactions between users. Users are encouraged to use safe payment methods and to report any suspicious activity.

7. Jobs & Employment Listings

7.1 Employer Responsibilities

Employers who post job opportunities must:

• Provide accurate, complete, and truthful information about the job, including role, responsibilities, qualifications, and compensation.
• Comply with all applicable employment laws and regulations.
• Not post discriminatory, fraudulent, or misleading job listings.
• Communicate professionally and respectfully with job seekers.

7.2 Job Seeker Responsibilities

Job seekers must:

• Provide accurate and truthful information about their qualifications, experience, and skills.
• Verify the legitimacy of any job opportunity before sharing personal information or making any payment.
• Exercise caution when meeting potential employers and follow safety guidelines.

7.3 No Guarantee of Employment

The Administrator does not guarantee that job seekers will find employment or that employers will find suitable candidates. The Platform only facilitates connections and communication between parties. All hiring decisions and employment relationships are solely between the employer and the job seeker.

8. Bill Payments & Digital Services

8.1 Services Offered

Through the Platform, users may purchase airtime and data, pay electricity and cable TV bills, buy exam PINs, and convert airtime to cash. These services are provided in partnership with third-party service providers and financial institutions.

8.2 Transaction Processing

All bill payment and digital service transactions are processed through third-party providers. The Administrator is not responsible for delays, errors, or failures in processing caused by third-party systems, network issues, or incorrect information provided by the user.

8.3 No Refunds

Unless otherwise required by law or expressly stated, all bill payment and digital service transactions are final and non-refundable. Users are responsible for verifying all details before completing a transaction.

8.4 Airtime to Cash Conversion

Airtime to cash conversion is subject to applicable rates, terms, and conditions. Users are responsible for understanding the conversion rate and any associated fees before initiating a conversion.

9. Disclaimer of Guarantees

The Administrator does not guarantee the quality, safety, legality, accuracy, or availability of goods, services, or information posted by users. The Administrator is also not responsible for whether buyers can pay, sellers can deliver, transactions are completed, or products and services infringe third-party rights.

Therefore, users are responsible for verifying information and accepting the risks of transactions. The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.

10. Safety Guidelines

For personal safety, users should:

• Meet others only in safe public places during daylight hours.
• Check the identity and credibility of anyone they meet for a transaction or job interview.
• Inform a trusted friend or family member of their plans before meeting a stranger.
• Avoid sharing sensitive personal or financial information unnecessarily.
• Report any suspicious, threatening, or fraudulent behavior to the Administrator immediately.

The Administrator is not responsible for users' interactions with other individuals or organizations, whether online or in person.

11. User Liability & Verification

• Users may be required to provide identity documents or other documents proving that their listings are legitimate.
• Sellers must provide complete, accurate, and truthful information about their products/services and sale conditions.

• Listing terms must comply with the Platform's Terms and applicable laws.
• Prices must be accurate, and any conditions that could change the price must be clearly stated.

12. Fees

The Platform is generally free to use. However, certain features or services may require payment, such as:

• Advertising or promoted listings.
• Limits on the number of listings in certain categories.
• Premium features or enhanced visibility.
• Bill payment and digital service transactions (subject to applicable rates and charges).

Any applicable fees will be clearly disclosed before you incur them. The Administrator reserves the right to change its fee structure at any time with reasonable notice.

13. User Promises

By using the Service, you confirm and promise that:

• You have the legal capacity to agree to these Terms.
• If acting for a company, you are authorized to do so.
• You are 18 or older, unless the applicable minor-supervision rules apply.
• Your account information is accurate, complete, and kept up to date.
• You will report unauthorized account access immediately.
• You will comply with all applicable laws and regulations.
• You will not use the Platform for illegal or unauthorized purposes.
• You will not post false, misleading, or fraudulent content.
• You will not infringe the intellectual property or other rights of any third party.
• You will not engage in any activity that could harm the Platform, its users, or its reputation.

14. Use of Your Listings & Content

By posting a listing or any other content on the Platform, you grant the Administrator a broad, non-exclusive, royalty-free, worldwide, perpetual, and irrevocable permission to use, copy, modify, publish, display, distribute, and promote your publicly available listing content, including descriptions, images, and prices.

Your listings may be used in the Platform's marketing campaigns and by independent third-party influencers, including on social media. Such promotional use does not mean the Administrator endorses your product.

You remain responsible for the accuracy of your listings and the quality of your goods or services. Influencers may create promotional content independently, and the Administrator generally does not accept responsibility for their content.

15. Intellectual Property Complaints

If you believe content on the Platform infringes your intellectual property rights, you may notify the Administrator and request its removal. You must have a legitimate legal basis for the complaint and make the request in good faith.

Your notice should include:

• A description of the copyrighted work or intellectual property you claim has been infringed.
• The location of the allegedly infringing content on the Platform.
• Your contact information.
• A statement that you have a good faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf.

16. Third-Party Websites & Advertisements

• The Service may contain links or advertisements from third parties, including financial institutions.
• The Administrator does not control, verify, endorse, or guarantee these third-party services or advertisements.
• Users deal with third parties at their own risk and should conduct their own checks before entering into transactions.
• Third-party websites are governed by their own terms and privacy policies.

17. Limitation of Liability

To the fullest extent permitted by applicable law, the Administrator and its affiliates generally are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages resulting from:

• Your use of or inability to use the Service.
• Any transactions or interactions between users.
• Third-party advertisements, products, or services.
• Unauthorized access to or alteration of your data.
• Any other matter relating to the Service.

You use the Service and third-party advertisements at your own risk, including risks of damage to your device or loss of data. The Administrator's total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to the Administrator, if any, in the twelve (12) months preceding the claim.

18. Suspension & Termination

The Administrator may suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms.
• Suspicious activity, fraud, or scams.
• Duplicate accounts or misuse of the Platform.
• Actions that could affect the Service or other users.
• Any other reason at the Administrator's sole discretion.

Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

19. Changes to These Terms

We may update these Terms from time to time. We will notify users of significant changes through the app or by email. The "Effective Date" at the top of this page indicates when the Terms were last revised. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
